ARTICLE I PURPOSE
Sec 1: The purposes for which this organization is formed are as follows: To
promote and encourage the development of the lands and facilities dedicated
to the property owners of Oak Shores and Oak Beach subdivision. To promote
friendship to carry on social functions together and to be of service to all
property owners (who so desire it) by assisting in handling problems that
develop in the pursuit of enjoyment of their property, the beach park area,
canal and the community building.
Sec II: To work together for the betterment of the swimming area park area,
and the picnic grounds.
Sec III: To oversee proper boating docks and ensure that proper speed limits
are observed in the canal entrance to the lake.
Sec IV: To foster and encourage among the members of the Association a
closer personal acquaintance and a friendly spirit of mutual cooperation.
ARTICLE II: PURCHASES
Sec I: To purchase, develop,
maintain and operate recreational facilities and equipment for the use
enjoyment and benefit of the Association their families and guests.
Sec II: Any and all personal and recreational property purchased by the
Association with Association funds, shall be the property of the Association
and shall be maintained and managed by the Association Board of Directors
and the members of the Association.
Sec III: Property owners of Oak Shores or Oak Beach that do not pay their
annual dues are entitled to use all recreational facilities at the beach,
park area, picnic grounds. However they shall be liable for any damages done
to the recreational area , equipment and boat ramp and shall pay for same.
ARTICLE III COMMUNITY BUILDING
Sec I: All property owners of Oak Shores and Oak Beach Subdivision are
entitled to use or rent the community building. However they must get
written permission from the building chairman or any officer from the Board
of Directors. All Association members in good standing may use the building
for a rental fee of $25.00. Property owners who are non-members may use the
building for a rental fee of $50.00. This fee goes back into the building
for any up keep.
Any member or property owner will be responsible for any damages occurring
while the building is in his or her care. The community building belongs to
the Association and property owners of Oak Shores and Oak Beach
Subdivisions.
ARTICLE IV: MEMBERSHIP
Sec I: The membership of this Association shall consist of property owners
in Oak Shores and Oak Beach subdivision
Sec II: The annual Association dues at the present time are $25.00
Sec III: Any member present at a meeting has the right to enter into
discussion, ask questions, offer suggestions, and to voice complaints. Any
member in good standing may hold office, if elected.
Sec IV: All property owners are welcome to attend Association meetings. They
may enter their complaints, ask questions about the Association, offer
suggestions and participate in discussions and volunteer for any job that
must be done for the betterment of the association.
However they do not have a vote on any proposals made by the membership
unless they are members in good standing.
Sec V: "ASSOCIATE MEMBER" An associate member is a person who wishes to use
our facilities and participate in our activities, but does not own any
property in Oak Shores, Oak Beach, or Cranberry Heights Subdivision. An
Associate member in good standing has a vote and may hold office or be on
the board of directors.
ARTICLE V CRANBERRY HEIGHTS PROPERTY OWNERS
Sec I: Any property owner in Cranberry Heights Subdivision may join the
Association by paying the annual dues.
Sec II: A Cranberry Heights member in good standing shall have a vote at the
meetings, may enter discussion, make suggestions, enter complaints, and be
active in committee.
Sec III: A Cranberry Heights Association member in good standing shall be
entitled to use the association building for a fee of $25.00 ( and must pay
a clean up is to be removed.)
He/ She is also allowed to use all recreational facilities at the beach,
park or picnic grounds.
Sec IV: Cranberry Heights property owners shall be entitled to have two
members on the board of directors. Members from Cranberry Heights, however
cannot hold any executive office on the board of directors.
Sec V: At no time shall the members of Cranberry Heights Subdivision control
the property that was dedicated to Oak Shores and Oak Beach Subdivisions.
ARTICLE VI: MEETINGS
Sec I: The annual membership meeting of this Association shall be held on
Labor Day weekend of every year. It shall be held on the Saturday before
Labor Day at 10:00 am. in the community building. Likewise, regular meetings
will be held on the Saturday before Memorial Dy and the Saturday closest to
July 4th of each year at the same time and place.
Sec II: At the Labor Day meeting we shall hold our election of new Board
Members. Three new board members shall replace the three out-going board
members. Each board member serves a three year term.
Sec III: Only members in good standing in the Association shall have the
right to run for office, or have the right to vote for any officer or board
member.
Sec IV: Special meetings may be called by the president, board of Directors
or the membership of the Association.
(a) Membership requesting the special meeting must have at least 15 members
in good standing for a quorum. They shall also give notice at least 14 days
prior to the meeting in writing to the Secretary of the Association.
(b) The President of the Association may call a special Board of Directors
meeting at his discretion, giving the Board 5 days notice before the special
meeting.
Sec V: When the secretary receives notice of a special meeting to be held,
the secretary shall notify the present and all the board members of the
special meeting.
Sec VI: In order to hold an official meeting, there shall be at least 15
members in good standing for a quorum of a membership meeting and 5 Board
members for a quorum to hold an official Board of Directors meeting.
Sec VII: All members are asked to sign in at all meetings.
Sec VIII: All members and property owners will be notified of all regular
membership meetings scheduled throughout the year in the annual letter
mailed out to all property owners.
ARTICLE VII DUES
Sec I: Annual dues are $25.00 per property owner per year, payable from May
to May of every year.
Sec II: The yearly dues may be raised from time to time by a vote of the
membership at the annual Labor Day weekend membership meeting.
ARTICLE VIII ELECTIONS
Sec I: The Board of Directors, trustees, and officers of this Association
shall be nominated and elected as follows: The present shall appoint a
nominating committee for the purpose of proposing the names of candidates
for the various association offices to be filled, which shall be presented
to the membership for a vote. Nominations may also be made from the floor by
members present.
Sec II: The vote may be a count of raised hands or by ballot, as desired by
the membership at the meeting.
Sec III: Only members in good standing shall have the right to run for
office or have the right to vote.
Sec IV: A member in good standing must be a property owner in Oak Shores,
Oak Beach, Cranberry Heights Subdivision, or an Associate Member and must
have his or her dues paid up for at least 3 years including the current
year.
Sec V: An Executive Board consisting of a President, Vice President,
Secretary, and Treasurer, shall be chosen by the Board of Directors after
the Labor Day meeting. Their term is for 3 years.
Sec VI: If interest is expressed, there may be three trustees elected at the
annual election to act as deputy Board members in absence of a regular Board
Member.
Sec VII: A trustee may also serve as chairman for various committees within
the Association.
ARTICLE IX BOARD OF DIRECTORS DUTIES
Sec I: The Board of Directors shall be responsible for the execution of the
authorized policies of the Association. All new business shall be considered
and shaped by the Board of Directors for presentation to the members of the
Association, when advisable.
Sec II: It shall authorize all expenditures and shall not create any
indebtedness beyond the Association funds. It shall not disburse funds for
purposes non-essential to the objects of the Association.
Sec III: A majority of the Board shall govern, except where otherwise
provided. The board shall have the power to over-rule or modify the action
of any officer of the Association.
Sec IV: It shall have the books and accounts audited annually or more often
at its discretion.
Sec V: It shall determine the date time and place of the annual nomination
and election meetings, and shall instruct the Secretary to issue the call
for such meetings.
Sec VI: It shall hold special meetings when called for by the President of
the Association, or by written request of five association members in good
standing.
Sec VII: It shall designate a bank or banks for the deposit of the funds of
the Association.
Sec VIII: It shall approve the surety company in which the Secretary and the
Treasurer be bonded, if bonding is deemed necessary.
Sec IX: Any special committee, group or representative, such as Rummage sale
chairman, Gypsy Moth or Geese control committee or chairman/treasurer of
this kind shall be responsible to the Board of Directors and shall be
appointed to their duties by a majority vote of the Board of Directors.
Sec X: At no time shall the Board of Directors have the power or authority
to borrow for expenditures of any kind whatsoever. Should an emergency arise
regarding lack of funds, a special membership and Board meeting shall be
called by the president of the Association. A request for a loan shall be
requested from the membership of the Association. There must be fifty-one
percent of the members present at this meeting for a quorum to authorize any
loan that is requested by the Board of Directors.
Sec XI: The Board of Directors shall see to it that all property owners
receive a news letter by May 15 of each year. It shall be a written report
of the progress and improvements achieved by the Board of Directors and
membership activities of the past year.
ARTICLE X: OFFICERS
Sec I: PRESIDENT: The President is to preside over all meetings. He shall
appoint all standing committee and other committees.
He shall perform duties necessary for the good of the Association. He shall
have general and active management of the business of the Association. He
shall have general powers and duties of supervision and management usually
vested in the office of a President of a Corporation.
Sec II: VICE-PRESIDENT: The Vice President shall discharge the duties of the
President during his absence or inability to perform. He shall be
co-chairman of all committees within the Association.
Sec III: SECRETARY: The Secretary shall attend all meeting of the members,
the Board of Directors, and the Executive Board, and shall keep a file of
the Association true minutes of all meetings. He/She shall safety keep in
his /her custody the seal of the Association, and shall authority to affix
the same to all documents where required. He/She shall mail out all notices
of meetings to all members and Board of Directors as directed by the
President or Executive Board. He/She shall issue a duplicate copy of all
minutes taken during all meetings to the President.
Sec IV: TREASURER: The Treasurer shall have custody of all Association funds
and securities and shall keep in books belonging to the Association full and
accurate accounts of all receipts and disbursements. He/She shall deposit
all moneys and securities and all other valuable effects in the name of the
Association. He/She shall disburse funds of the Association as directed by
the Board of Directors , taking proper vouchers for such disbursements.
He/She shall prepare and have ready a financial report for all meetings of
the Association. He/She shall be bonded if required by the Board of
Directors, and shall issue an annual financial statement to the President of
the Association. He/She shall also file the "Michigan annual Report".
ARTICLE XI ADMENDMENTS
Sec I: These by-laws may be amended, altered, changed added to, or repealed
by the affirmative vote of a majority of the members entitled to vote at any
regular or special meeting of the Association. Members must be given at
least 30 days notice before a meeting at which amending the by laws is to be
considered.
Sec II: These by-laws may also be amended by an affirmative vote of a
majority of the Board of Directors.
Sec III: Any by-laws amended by the Board of Directors may be amended
altered, changed, added to, or repealed by the affirmative vote of a
majority of the members of the Association, again, providing they are
notified at least thirty days prior to the meeting at which by-laws changes
are to be considered.
